Duane Morris Welcomes Intellectual Property Partner Richard L. Cruz in Philadelphia

Richard L. Cruz has joined Duane Morris LLP as a partner in the firm’s Intellectual Property Practice Group in its Philadelphia office. Prior to joining Duane Morris, Cruz was a partner at DLA Piper.

As it pertains to patents, Cruz handles matters in the electrical and mechanical arts generally, with a particular focus on computer and software technologies, including digital health technology, online healthcare records, artificial intelligence, business methods, financial sector services, blockchain and cryptocurrency technology, electronic transactions and platforms, e-commerce, online banking, electronic data storage and retrieval, online gaming, internet-related technologies, networking and telecommunications. He has represented clients before the Patent Trial and Appeal Board and the Trademark Trial and Appeal Board in various proceedings at the United States Patent and Trademark Office, and has advised in both patent and trademark proceedings in foreign jurisdictions including Canada, the United Kingdom, Singapore, China, Brazil, Italy and others. White Collar and Investigations Litigator Kevin Carroll Brings His Government and Private Sector Experience to Hughes Hubbard

New York and Washington, D.C., Feb. 1, 2022 – Hughes Hubbard & Reed LLP is pleased to announce that Kevin Carroll has joined as a partner in the White Collar & Regulatory Defense and Anti-Corruption & Internal Investigations practices in the firm’s Washington, D.C. and New York offices. Carroll is the second hire in two months to the White Collar and Anti-Corruption groups; former U.S. Attorney Kenyen Brown joined the firm in December 2021.

Carroll’s practice focuses on representing businesses and senior corporate executives and government officials in congressional, inspector general and criminal investigations; conducting internal investigations; and litigating national security claims. Kevin also helps counsel businesses on CFIUS/FIRRMA, cyber security and data privacy, EAR/ITAR, FARA, FCPA, FISA, FMS and OFAC compliance.

He began his legal career with Hughes Hubbard, and was then recalled to military service. Since then, he has held a number of positions in private practice, in government, and in-house, all with a focus on national security. Notably, he has served as executive director of the U.S. Council on Transnational Organized Crime, Senior Counselor to Homeland Security secretary Hon. John Kelly, Senior Counsel to House Homeland Security Committee chairman Hon. Peter King, a CIA case officer in the Middle East, and a law clerk to U.S. District Judge Thomas Platt. Kevin served in Europe, the Middle East and Central Asia, and remains a colonel of the U.S. Army Reserve and maintains active security clearances, including TS-SCI, necessary to his practice.

He is also a member of the Defense Research Institute along with both the Miami-Dade and Broward County Bar Associations.

In addition to his experience as an attorney, Ruiz draws on his past experience as a claims counsel in the employment specialty claims department of a national specialty liability lines insurer, overseeing complex employment practices litigation throughout the country. Before attending law school, Ruiz was involved with politics and worked on several local, state and federal campaigns.

Ruiz graduated from New York Law School in 2011 and Syracuse University in 2005 with a bachelor’s degree in Political Science.

Ms. Garofalo’s experience also includes providing tax advice to issuers, underwriters, financial institutions and other clients on a wide range of domestic and cross-border transactions, particularly in connection with mortgage-backed securitization, real estate finance and structured finance. In addition, she has counseled clients on the tax-efficient use of special purpose vehicles and real estate investment trusts (REITs).

She started her career at Clifford Chance, where her experience included advising sovereign wealth funds and US and non-US investment funds and investors on US federal income tax considerations in respect of worldwide investment transactions.

Ms. Garofalo routinely serves as a guest speaker at Howard University School of Law, where she was also an adjunct professor on the topic of corporate tax law. Additionally, she has been recognized for her outstanding work in the field by the National Black Lawyers as a “Top 40 Under 40,” and as “Philanthropist of the Year” by the Association of Fundraising Professionals’ Washington DC chapter for her longstanding work with human services organizations that address the causes of social and systemic inequities.

Chamberlain Hrdlicka welcomes Associates Cenk “Jack” A. Erkal and Abriana B. Horton to the firm’s Atlanta office. Prior to joining Chamberlain, Erkal served as a tax attorney for a firm based in Savannah, Georgia, where his practice focused on tax planning and corporate taxation. Lathrop GPM Focuses on Growth with Denver Office Relocation

Lathrop GPM is pleased to announce the firm’s Denver office will relocate to 675 15th Street, Suite 2650, in September of this year.

The space, located in the newly built Block 162, is being designed to meet the growing office’s needs and adapt to the changing work environment. It will be the first of the firm’s offices to incorporate a hybrid of open seating and private, assigned workspaces.

FBFK Law Firm Completes Record $1.3B Industry Deal Merging Meal Kit Leader Sunbasket With Keto Lifestyle Company Prüvit

In the largest meal kit industry merger to date, Dallas-based FBFK Law Firm announced it has completed a $1.3 billion transaction merging at-home meal kit industry leader, Sunbasket, with Prüvit Ventures, a leading ketogenic lifestyle company, to provide consumers with at-home, fully ketogenic meal kits. The transaction was an all-stock deal, with Sunbasket and Prüvit becoming wholly owned subsidiaries of PSB Holdings, a new holding company.

According to FBFK Attorneys Chris Williams, and Kelly Kubasta, who have a long-standing relationship with Prüvit, the transaction was particularly complex as it merged two very different company ownership and operational structures. The deal was negotiated over the course of a year and resulted in Prüvit shareholders owning 60 percent and Sunbasket shareholders owning 40 percent of the new holding company, respectively.

“This is a first for the meal kit industry,” said FBFK’s Williams. “From a legal standpoint, merging these different structures and company styles presented significant challenges – the kinds of complex scenarios we thrive on. The end result was a new entity poised for growth in a $7 billion market. We’re grateful for the Prüvit leadership and our long-standing relationship with this forward-thinking organization.”

The combined company will focus on creating the first personalized wellness platform combining food, community and supplements.

According to Prüvit CEO Brian Underwood, the aim is to develop and round-out the ketogenic lifestyle and help people lead healthier lives. “The ketogenic market is booming, and we see no end in sight. Merging with Sunbasket will put healthy, nutritious, delicious ketogenic foods at consumers’ fingertips and will allow us to create the first, true personalized wellness platform combining food, community and supplements.”

The new entity is actively recruiting a new CEO; however, Brian Underwood and Don Barnett will remain as CEOs of Prüvit and Sunbasket, respectively, where they will be operating subsidiaries.

Dallas-based Prüvit Ventures is both headquartered and sources its manufacturing and distribution operations in North Texas. The larger platform provided by the merger will bring additional jobs – number is yet to be determined – necessary for the increased manufacturing and distribution operations.

San Francisco-based Sunbasket, is a subscription at-home meal delivery service focused on fresh, organic and sustainable ingredients, and is known for offering paleo, gluten-free and other special diet options.
