Broker in Two City Real Estate Deals had Undisclosed Contracts with City Landlord

“The former volunteer city real estate adviser who received $9.4 million in payments for two city lease deals also had two previously undisclosed contracts with the city’s landlord, including separate non-disclosure and fee agreements signed before the City Council voted to approve the first lease,” reports Lisa Halverstadt in Voice Of San Diego.

“Those agreements came after then-Mayor Bob Filner, in 2013, appointed real estate broker Jason Hughes as his special assistant on downtown real estate issues and commended him for agreeing to work “without compensation from any party. Less than two years later, as an adviser to then Mayor Kevin Faulconer, Hughes signed.”

GameStop CECO Named Interim General Counsel

“Mark Robinson assumed the role in June following the departure of Dan Reed II, according to a report from Bloomberg Law this week.A Robinson has reflected the new position in his LinkedIn profile. He has been at GameStop for six years, hired as a senior counsel in August 2015,” reports Aaron Nicodemus in Compliance Week.

“Robinson’s responsibilities as assistant general counsel included his holding the CECO title. He also served as secretary of the company’s audit committee. Bausch Settles Pay for Delay Claims with $300 Million Charge

“Court filings show that Canada-headquartered Bausch Health TSX. BHC has agreed to pay $300 million to settle an antitrust suit related to diabetes med Glumetza. The class action suit accused the firm of keeping a monopoly on the therapy by paying off competitors, thereby enabling an eight fold price,” reports The Pharma Letter in their blog.

“First sold by Assertio Therapeutics Nasdaq. ASRT, Glumetza is an extended-release formulation of the common diabetes therapy. Bausch, which was formerly known as Valeant Pharmaceuticals, picked up the treatment subsequently. The antitrust case was initiated in 2019. The legal arguments center around the role.”

Biglaw Firm Boosts Salaries

“It’s now mid-September, and some first are just getting around to raising associate salaries. Sure, this trend started back in June, but when it comes to compensation increases for attorneys, the general mood is that it’s better late than never,” reports Staci Zaretsky in Above The Law.

“The latest firm to increase associate salaries is Robins Kaplan, a national trial firm that brought in $191,065,000 gross revenue in 2020, placing it at No. 158 in the most recent Am Law 200 ranking. The Minnesota-based firm was also recently named by Vault as one of the top firms in the Midwest (#25) and as one of the best firms for formal training overall (#21).”

“Hour by hour, as billable time ticks away, Biglaw leaders have an important decision to make. Will they further postpone their planned office reopenings due to the hyper-contagious Delta variant of COVID-19? Ivantis to Pay $60M in Patent Litigation Settlement with Glaukos

“Glaukos NYSE, GKOS announced today that it entered into a settlement with Ivantis to terminate a three-year-old patent infringement lawsuit. San Clemente, California-based Glaukos’ patent infringement lawsuit, initiated on April 14, 2018, in the U.S. District Court for the Central District of California,” reports Sean Whooley in Drug Delivery.

“Under the settlement agreement, Ivantis will pay Glaukos $60 million, with $30 million to be paid by Dec. 31, 2021. The remainder must be paid by Dec. 31, 2022, with Ivantis also to pay Glaukos a 10% ongoing royalty through April 26, 2025, based on the Hydrus Microstent’s U.S. sales and any international sales supplied outside of the U.S.”

Ohio, Drug Distributors Finalize $808 Million Opioid Settlement

“Ohio on Thursday finalized an $808 million accord with the three largest U.S. drug distributors resolving claims they fueled the opioid epidemic, guaranteeing the state would be paid regardless of the fate of the proposed $26 billion national settlement. Ohio Attorney General Dave Yost cited the leverage,” reports Nate Raymond in Reuters.

“An upcoming trial in a case the state filed against the companies to explain why the state could cut a better deal with McKesson Corp, AmerisourceBergen Corp and Cardinal Health Inc than what it could get in the national settlement. That deal calls for the distributors to pay up to $21 billion over 18 years to resolve claims by thousands.”

CIPL Celebrates Two Decades of Data Policy Innovation

The Centre for Information Policy Leadership, a global privacy and security think tank founded in 2001 by leading companies and Hunton Andrews Kurth LLP, is celebrating 20 years of working with industry leaders, regulatory authorities and policy makers to develop global solutions and best practices for privacy and responsible data use.

The Digital Contracting company unveils industry-first product developments fueled by recent acquisition at keynote event

SAN FRANCISCO (September 9, 2021) — At today’s State of Digital Contracting event, Ironclad unveiled Clickwrap, a new product for managing online agreements, and a never-before-seen set of features for Ironclad’s contract lifecycle management (CLM) product.

Clickwrap contracts (also known as clickthrough, click-to-accept contracts) are digitally native, legally binding online agreements that don’t require a signature. They are executed when the user clicks on a button that displays acceptance language or checks a box next to acceptance language. The use of clickwrap contracts has continued to rise with billions of agreements processed each year.

Ironclad Clickwrap (formerly Pactsafe, which Ironclad acquired earlier this year) helps companies manage the agreements embedded in apps, websites, and other digital experiences. The product handles millions of agreements per month for brands like Doordash and Wayfair, while capturing evidence to ensure the contracts are legally enforceable. Today, Ironclad announced that Clickwrap will now be available alongside CLM on Ironclad’s digital contracting platform.
Bringing click-to-accept to CLM
As ubiquitous as clickwrap contracts have become in consumer experiences, they are rare in B2B agreements, where eSignature is the common standard. At today’s event, Ironclad asserted that in the future, businesses will strategically choose the best mode of acceptance to optimize for contract speed and counterparty experience.
