NEW YORK (February 1, 2022) – Littler, the world’s largest employment and labor law practice representing management, has appointed Jeanine Conley Daves as office managing shareholder (OMS) of the firm’s New York City office, effective today. Daves succeeds Bruce Millman, who will be retiring as a shareholder at the end of March after an impressive 40+ year career.

Daves has represented many of the nation’s leading companies in employment-related disputes and workplace investigations. She has successfully tried cases in both state and federal court and has significant experience litigating whistleblower and retaliation lawsuits, along with discrimination and harassment claims and restrictive covenant and trade secret matters. Additionally, she provides extensive pre-litigation advice and counsel to clients, and she regularly conducts trainings on all facets of employment law.

Daves earned her J.D. from Georgetown University Law Center and her B.S. from the University of North Carolina, Chapel Hill.

Delaney represents automotive manufacturers in all phases of litigation involving Magnuson-Moss Warranty Act and Florida Lemon Law including arbitration before the Florida New Motor Vehicle Arbitration Board and in lawsuits throughout Florida and Southeastern United States. He represents automobile manufacturers against negligence and strict liability claims based upon alleged product defects. In addition, he represents clients in casualty litigation defending companies against premises liability claims.

Delaney serves as co-chair of the Orange County Bar Association Professionalism Committee and has been a member since 2016. In addition to being admitted to The Florida Bar, he is also admitted in Texas, Virginia and West Virginia.

Prior to joining RumbergerKirk, Delaney served as both an Assistant Public Defender and an Assistant Attorney General. He successfully argued cases at every level of the Florida courts and has extensive experience arguing before the Florida Supreme Court. Before attending law school, Delaney worked on Capitol Hill as a legislative staff member to United States Senator George V. Voinovich.

Delaney graduated from St. Thomas University School of Law in 2010 and The Catholic University of America in 2005 with a bachelor’s degree in History.

Jens Ruiz

An experienced litigator, Ruiz focuses his practice in the areas of product liability, warranty and casualty litigation. He also has experience handling insurance coverage and bad faith matters. He defends a number of clients in the manufacturing, distribution, retail, automotive, boating, and personal watercraft industries throughout Florida involving negligence, product defect, and personal injury including catastrophic injuries and wrongful death.

Ruiz was invited to join the Product Liability Advisory Council in 2019, a not-for-profit association made up of more than 100 product manufacturers and the leading product liability defense counsel operating in the U.S. and abroad. He is also a member of the Defense Research Institute along with both the Miami-Dade and Broward County Bar Associations.

In addition to his experience as an attorney, Ruiz draws on his past experience as a claims counsel in the employment specialty claims department of a national specialty liability lines insurer, overseeing complex employment practices litigation throughout the country. Before attending law school, Ruiz was involved with politics and worked on several local, state and federal campaigns.

Ruiz graduated from New York Law School in 2011 and Syracuse University in 2005 with a bachelor’s degree in Political Science.

Perkins Coie Adds to Pro Bono Department in New York With Sarah Deri Oshiro

Sarah joins Perkins Coie with more than a decade of experience practicing, training, and managing within immigration legal services programs. In that role, Sarah managed a team of over 50 advocates who represent indigent noncitizens in all immigration matters.

Chamberlain Hrdlicka Continues Growth In Atlanta With Two New Tax Controversy Associates

Chamberlain Hrdlicka welcomes Associates Cenk “Jack” A. Erkal and Abriana B. Horton to the firm’s Atlanta office. Erkal and Horton join the nationally recognized Tax Controversy & Litigation practice, composed of attorneys experienced in advising and representing taxpayers before federal, state and local taxing authorities and in all federal and state courts where tax disputes are litigated. Cenk “Jack” A. Erkal
Erkal focuses his practice on representing taxpayers in disputes with the Internal Revenue Service at all stages of tax controversy. Prior to joining Chamberlain, Erkal served as a tax attorney for a firm based in Savannah, Georgia, where his practice focused on tax planning and corporate taxation. He also served as a tax analyst for an accounting firm, where he advised multinational corporations of their potential state and local tax liabilities. While in law school, Erkal served as a student attorney in the Philip C. Cook Low-Income Taxpayer Clinic, where he represented low-income taxpayers in tax disputes against the Internal Revenue Service. Abriana B. Horton

Prior to joining Chamberlain, she served as a tax controversy associate at a Georgia-based firm assessing client tax situations and effectively managing, defending, negotiating and resolving tax controversies with the Internal Revenue Service, at both the audit and appeal stages. She served as a judicial intern for the Honorable Phillip T. He was the first attorney in New York state to secure a court win holding a company liable for asbestos contamination of cosmetic talcum powder products and regularly serves as lead trial attorney in complex personal injury trials. Lathrop GPM Focuses on Growth with Denver Office Relocation

Lathrop GPM is pleased to announce the firm’s Denver office will relocate to 675 15th Street, Suite 2650, in September of this year.

The space, located in the newly built Block 162, is being designed to meet the growing office’s needs and adapt to the changing work environment. It will be the first of the firm’s offices to incorporate a hybrid of open seating and private, assigned workspaces.

FBFK Law Firm Completes Record $1.3B Industry Deal Merging Meal Kit Leader Sunbasket With Keto Lifestyle Company Prüvit

In the largest meal kit industry merger to date, Dallas-based FBFK Law Firm announced it has completed a $1.3 billion transaction merging at-home meal kit industry leader, Sunbasket, with Prüvit Ventures, a leading ketogenic lifestyle company, to provide consumers with at-home, fully ketogenic meal kits. The transaction was an all-stock deal, with Sunbasket and Prüvit becoming wholly owned subsidiaries of PSB Holdings, a new holding company.

According to FBFK Attorneys Chris Williams, and Kelly Kubasta, who have a long-standing relationship with Prüvit, the transaction was particularly complex as it merged two very different company ownership and operational structures. The deal was negotiated over the course of a year and resulted in Prüvit shareholders owning 60 percent and Sunbasket shareholders owning 40 percent of the new holding company, respectively.

“This is a first for the meal kit industry,” said FBFK’s Williams. “From a legal standpoint, merging these different structures and company styles presented significant challenges – the kinds of complex scenarios we thrive on. The end result was a new entity poised for growth in a $7 billion market. We’re grateful for the Prüvit leadership and our long-standing relationship with this forward-thinking organization.”

The combined company will focus on creating the first personalized wellness platform combining food, community and supplements.

According to Prüvit CEO Brian Underwood, the aim is to develop and round-out the ketogenic lifestyle and help people lead healthier lives. “The ketogenic market is booming, and we see no end in sight. Merging with Sunbasket will put healthy, nutritious, delicious ketogenic foods at consumers’ fingertips and will allow us to create the first, true personalized wellness platform combining food, community and supplements.”

The new entity is actively recruiting a new CEO; however, Brian Underwood and Don Barnett will remain as CEOs of Prüvit and Sunbasket, respectively, where they will be operating subsidiaries.

Dallas-based Prüvit Ventures is both headquartered and sources its manufacturing and distribution operations in North Texas. The larger platform provided by the merger will bring additional jobs – number is yet to be determined – necessary for the increased manufacturing and distribution operations.

San Francisco-based Sunbasket, is a subscription at-home meal delivery service focused on fresh, organic and sustainable ingredients, and is known for offering paleo, gluten-free and other special diet options.

Aluminum prices can’t keep up with energy costs, driving wave of closures

Faith Can’t Abrogate a Contract

“The California Court of Appeal has opened a new front in the legal war over religious exemptions. In Bixler v. Church of Scientology, the court ruled in favor of former members of the church who allege that they were raped by a church agent before leaving the faith. It held that they aren’t,” reports Michael J. Broyde in The Wall Street Journal.
